TELLES advised Cristalmax and Maxtrends Holding (majority shareholder of Cristalmax) on the investment and participation of ACTIVECAP - CAPITAL PARTNERS, SCR, S.A. in the share capital of Cristalmax.
TELLES advised Cristalmax, a national company specialising in the transformation and sale of glass, in all stages of the process, namely in the negotiation and drafting of the investment and shareholders' agreement and other ancillary documents, as well as in the notification process to the Competition Authority.
TELLES also represented Maxtrends Holding, which remains the majority shareholder of Cristalmax and will control Cristalmax in partnership with ACTIVECAP - CAPITAL PARTNERS.
The multidisciplinary team at TELLES was led by Francisco Espregueira Mendes, partner and head of the Corporate, M&A and Private Equity practice, with special contributions from Tomás Paiva Rosado and António Palma Nogueira, associates in the same practice. The transaction also involved TELLES' European and Competition lawyers, namely partnerLeyre Prieto and associate Joana Whyte.
With this transaction, Cristalmax, a Portuguese company that exports glass to more than 25 countries, aims to consolidate its position in the industrial, national and international markets.
