TELLES advised the sellers PROINVESTE, SGPS, S.A. and CASAPLUS - SISTEMAS DE ENERGIA LDA., on the sale of 100% of the share capital and voting rights of CIRELIUS, a Portuguese company in the renewable energy industry.
TELLES team was led by Francisco Espregueira Mendes, head partner of the Commercial, Corporate and M&A practice, in close collaboration with Nuno Marques, Of counsel, and with the assistance of Maria Miguel Cameira, associate, and Flávia Sampaio, trainee-lawyer, who monitored the whole sale process.
The work of TELLES included from conducting a Legal Vendors Due Diligence to the target company CIRELIUS, S.A., as well as the implementation of contingency mitigation measures and structuring of the transaction. It is also worth mentioning the organization of a competitive process, the preparation and organization of VDR, Q&A and legal expert sessions, the analysis of binding offers and negotiation with the various bidders, the drafting and negotiation of all legal instruments necessary and convenient for the transaction, namely the purchase and sale agreement and other ancillary documents, as well as the preparation and monitoring of the signing and closing of the transaction.
With this deal, CIRELIUS joins Arbonia AG, a Swiss business group, listed on the SIX Swiss Exchange.
